Terms of Service (AGB)

1. Scope and provider

These Terms apply to paid Markets subscriptions and other digital services provided through hb-capital.app. The product provider is HB Capital UG (haftungsbeschränkt), Rechbergstrasse 28, 70794 Filderstadt, Germany, registered with the Local Court of Stuttgart under HRB 799273 ("HB Capital"). Contact: contact@hb-capital.app.

For purchases through Stripe Managed Payments, the Link entity identified in Checkout acts as merchant of record and seller for the payment transaction, invoicing, indirect taxes, fraud, disputes, and transaction support. These Terms govern access to and use of the HB Capital product; the Link payment terms shown at Checkout also apply to the purchase.

Individual agreements take precedence. Conflicting customer terms apply only if HB Capital expressly agrees to them.

2. Public research and Markets subscription

HB Capital may provide limited public research previews, including read-only public blockchain wallet balances and recent activity context where the selected network and data source are supported. Public previews may be limited or changed without creating a paid access entitlement.

The Markets subscription provides the features shown at checkout:

  • native market charts, indicators, and overlays;
  • macro context and aggregated third-party market data; and
  • read-only exchange connections and account context where the connected exchange and account are supported.

Markets does not include automated trading, discretionary portfolio management, investment advice, custody, or authority for HB Capital to execute transactions. Private operator tools and terminal workflows are not part of the public subscription.

3. Contract formation

  1. The Access page and Stripe Checkout display the essential service characteristics, localized tax-inclusive recurring price, billing interval, accepted payment methods, merchant-of-record terms, and these Terms before purchase.
  2. By completing Stripe Checkout using the clearly labelled payment button, the customer purchases the subscription from the Link merchant of record and accepts these Terms for product access. Input errors can be corrected before submission.
  3. HB Capital accepts the offer by confirming the subscription and enabling Markets access. The customer receives an electronic confirmation and can save these Terms.
  4. The contract language is German or English, as presented.

4. Prices and payment

  1. The recurring price, localized currency, included applicable taxes, and billing interval displayed immediately before purchase are binding. Adaptive Pricing may convert the EUR base price to the customer's local currency.
  2. The Link entity named at Checkout is the merchant of record. Stripe provides the payment infrastructure. Payment methods offered depend on country, currency, and Stripe availability.
  3. The subscription fee is due at the start of each billing period. Link issues transaction receipts and invoices and provides subscription management and transaction support. The customer statement descriptor begins with LINK.COM.
  4. If payment fails, HB Capital may restrict paid access after reasonable notice. Statutory rights remain unaffected.

5. Term, renewal, and cancellation

  1. Markets is billed monthly and renews for another month unless it is cancelled before the next renewal date.
  2. Customers may cancel at any time effective at the end of the current paid billing period through Link or the customer portal, or through the cancellation route linked on every page.
  3. Access continues until the effective cancellation date. The right to terminate for cause remains unaffected.

6. Consumer withdrawal right

Consumers generally have a fourteen-day statutory withdrawal right for distance contracts. The separate withdrawal notice explains the period, procedure, consequences, and model withdrawal form.

7. Customer responsibilities

  • Keep login credentials confidential and secure the account.
  • Connect only accounts the customer is authorised to use and grant no exchange permissions beyond those required by the product.
  • Submit only public wallet addresses the customer is authorised to analyse and independently verify any reconstructed wallet history.
  • Do not resell access, scrape the service, bypass access controls, interfere with operation, or use the service unlawfully.
  • Verify market data and decisions independently before taking any financial action.

8. Market data, availability, and changes

Market and macro data may originate from exchanges and other third parties. It can be delayed, incomplete, corrected, or temporarily unavailable. HB Capital does not guarantee uninterrupted real-time delivery or the future availability of a particular data source, exchange, indicator, or integration.

HB Capital may make reasonable changes needed for security, compatibility, legal compliance, or continued operation, provided the core paid service is not materially reduced without an appropriate remedy or cancellation option.

9. No investment advice and trading risk

All research, indicators, signals, charts, and account context are informational tools. They are not investment advice, a personal recommendation, a promise of performance, or an offer to buy or sell an asset. Crypto assets are volatile and customers may lose all capital committed to trading. Past performance and backtests do not predict future results.

10. Defects and liability

Statutory rights for defective digital products remain unaffected. HB Capital is liable without limitation for intent, gross negligence, injury to life, body, or health, fraudulent concealment, guarantees, and mandatory statutory liability. For slight negligence, liability is limited to foreseeable loss typical for the contract where an essential contractual obligation is breached. Otherwise, liability for slight negligence is excluded to the extent permitted by law.

11. Data protection

Details about account, billing, analytics, connected-exchange, and submitted public-wallet data processing are set out in the Privacy Policy.

12. Governing law and dispute resolution

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protections at the consumer's habitual residence remain unaffected. If the customer is a merchant, Stuttgart is the agreed place of jurisdiction.

HB Capital is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
